Xero Developer Advisory Council (XDAC) – Terms and Conditions
1. Background and Purpose
These Terms and Conditions (Terms) govern your participation in the Xero Developer Advisory Council. XDAC is an advisory forum designed to provide Xero Limited (Xero) with feedback on its developer platform, APIs, and ecosystem policies. Your role is advisory only - Xero remains solely responsible for all product, commercial and policy decisions.
2. Acceptance of Terms
By participating in XDAC meetings, reviewing materials, or providing feedback, you are deemed to have accepted these Terms on behalf of the entity you represent. We may update these Terms at any time by notifying you via email.
3. Your Participation
We ask that you participate in meetings (typically quarterly) and review advance materials where possible, however your participation is voluntary. Unless a specific incentive or benefit is agreed upon in writing, this is an unpaid advisory role where the primary benefit is the opportunity to help shape the ecosystem. While you bring your own expertise, we value feedback that considers the health of the broader Xero developer community.
In addition, from time to time, Xero may invite you to:
a. participate in user research, design reviews or beta programs; and
b. provide feedback on documentation, sample apps, SDKs or developer tools.
4. Confidentiality and Inside Information
a. During your membership in XDAC, you may receive sensitive information about Xero’s roadmap, security, or pricing. You must keep this information strictly confidential and use it only for XDAC purposes.
b. You acknowledge that some information may be ‘inside information’ under securities laws. You must not trade in Xero securities or advise others to do so while in possession of such information.
5. Intellectual Property and Feedback
Xero values your insights. You agree that Xero retains ownership of any intellectual property rights in the feedback, suggestions, or ideas you provide regarding Xero’s products or services. Xero is not obligated to implement feedback and will not pay royalties for its use.
6. Liability
To the maximum extent permitted by law, Xero’s total liability arising out of or in connection with these Terms or your participation in XDAC is limited to NZD $100. Xero is not liable for any indirect or consequential losses.
7. Conflicts of Interest
You must avoid actual or potential conflicts of interest between your membership and your other business or professional activities, including any membership in a substantially similar developer advisory or ambassadorial program with a direct competitor of Xero that could reasonably compromise your ability to act independently in XDAC or risk disclosure of Xero’s confidential information. You will promptly notify Xero in writing if any such conflict arises or is reasonably likely to arise.
8. Duration and Termination
a. Your membership typically lasts for a period of up to two years, unless extended by Xero. Xero may invite you to renew your membership for a further term by written notice. Any renewal will be subject to your acceptance of then-current terms.
b. Either you or Xero may terminate your participation at any time for any reason by giving 7 days' written notice (email suffices). In addition, Xero may remove members immediately if their conduct is deemed damaging to Xero’s reputation or the integrity of XDAC.
9. General
a. These terms are governed by the laws of New Zealand. Your participation is also subject to the Xero Developer Platform Terms and the Xero Privacy Notice.
b. Nothing in these Terms creates any partnership, joint venture, employment or agency relationship between you and Xero. You must not hold yourself out as having authority to bind Xero.
